4.2 Course Content: We reserve the right to modify, update, or discontinue courses at any time. While we strive to maintain course availability, we do not guarantee uninterrupted access to any specific course content.
4.3 Certificates: Certificates of completion are issued based on successful course completion according to our assessment criteria. Certificates are for personal use and do not constitute professional accreditation unless explicitly stated.
4.4 No Guarantees: While we provide quality educational content, we make no guarantees regarding specific learning outcomes, career advancement, or financial gains resulting from course completion.
5.1 Pricing: All prices are displayed in the applicable currency and include applicable taxes unless otherwise stated. We reserve the right to change prices at any time without prior notice.
5.2 Payment Processing: Payments are processed securely through third-party payment processors. You agree to provide valid payment information and authorize us to charge your payment method.
5.3 Refund Policy: Refunds are provided in accordance with our Refund Policy. Generally, refunds may be requested within 14 days of purchase if less than 20% of course content has been accessed. Each refund request is evaluated individually.
5.4 Subscription Services: For subscription-based services, payments are recurring and will be charged automatically at the specified intervals until cancelled. You may cancel at any time through your account settings.
6.1 Ownership: All Content, including but not limited to text, graphics, logos, images, videos, audio clips, software, and course materials, is the property of Meridian Academy or our licensors and is protected by Croatian and international copyright, trademark, and other intellectual property laws.
6.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Content for your personal, non-commercial educational purposes only.
6.3 Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content without our express written consent, except as necessary for your personal educational use.
6.4 User Content: By submitting content to our Platform (including comments, reviews, or assignments), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with our Services.
You agree not to use our Services for any unlawful purpose or in any way that could damage, disable, or impair our Platform. Prohibited activities include but are not limited to:
8.1 Service Availability: We strive to provide uninterrupted access to our Services but do not guarantee that the Services will be available at all times. We are not liable for any interruptions, delays, or technical difficulties.
8.2 Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8.3 Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIDIAN ACADEMY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
8.4 Maximum Liability: Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
8.5 Educational Content: While we ensure our educational content is accurate and current, we make no guarantees regarding its completeness or applicability to your specific situation. You are responsible for independently verifying information before relying upon it.
You agree to indemnify, defend, and hold harmless Meridian Academy, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
10.1 Termination by User: You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Termination does not entitle you to a refund unless otherwise specified in our Refund Policy.
10.2 Termination by Us: We reserve the right to suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.
10.3 Effect of Termination: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10.4 Data Retention: Following termination, we may retain certain information as required by law or for legitimate business purposes.

You acknowledge and agree that we shall not be responsible or liable for any loss or damage of any kind incurred as the result of any such dealings.
13.1 Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter informally through good faith negotiations.
13.2 Mediation: If informal resolution is unsuccessful within thirty (30) days, the parties agree to participate in mediation administered by a mutually agreed-upon mediator before pursuing formal legal action.
13.3 Arbitration: Any disputes that cannot be resolved through mediation shall be resolved through binding arbitration in accordance with the rules of the Croatian Chamber of Economy Arbitration Court, unless otherwise agreed by both parties.
13.4 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Meridian Academy individually. To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration.
14.1 Applicable Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions.
14.2 Jurisdiction: Subject to the dispute resolution provisions above, you agree to submit to the exclusive jurisdiction of the courts located in Croatia for the resolution of any disputes arising from or relating to these Terms or the Services.
14.3 International Users: If you access our Services from outside Croatia, you are responsible for compliance with local laws and regulations applicable in your jurisdiction.
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
16.1 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
16.2 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Meridian Academy.
These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Services, constitute the entire agreement between you and Meridian Academy regarding the use of our Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
